Terms of Service
These Terms of Service ("Terms") are an agreement between you and Praxon LLC ("Praxon," "we," "us") governing your use of our website and application (the "Services"). By accessing or using the Services, you agree to these Terms. If you're using Praxon on behalf of a company, you agree on its behalf and confirm you're authorized to do so.
The Services
Praxon provides field-execution and project-management software for specialty trade contractors. The Services are currently offered on an early-access / pilot basis and are still evolving — features may change, and availability is not guaranteed.
Accounts
- You must provide accurate information and keep it current.
- You're responsible for activity under your account and for keeping your credentials secure.
- Notify us promptly at brian@praxonops.com of any unauthorized use.
Acceptable use
You agree not to:
- use the Services unlawfully or to infringe others' rights;
- attempt to access data that isn't yours, or interfere with the security or operation of the Services;
- reverse engineer, copy, or resell the Services except as allowed by law;
- upload malicious code or otherwise misuse the system.
Your data
- You own your data. The project, schedule, field, and other content you and your team put into Praxon remain yours.
- You grant Praxon a limited license to host, process, and display that content as needed to provide the Services to you.
- You're responsible for the accuracy and lawfulness of the data you enter and for having the rights to use it.
Our intellectual property
Praxon and its software, design, and trademarks are owned by Praxon LLC. These Terms don't transfer any ownership of the Services to you.
Early access / beta
During early access, the Services are provided "as is" while we build. They may contain bugs, change without notice, or be unavailable at times. We don't make uptime or performance guarantees during this period, and we may modify or discontinue features. Any specific pilot commitments are covered by a separate written agreement between you and Praxon.
Fees
Any fees, if applicable, are as agreed in writing between you and Praxon. During early access, pricing terms are set out separately; we reserve the right to introduce or change pricing on reasonable notice.
Disclaimers
To the fullest extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Praxon is an operational tool and is not a substitute for your own professional judgment, contracts, safety obligations, or recordkeeping.
Limitation of liability
To the fullest extent permitted by law, Praxon will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Services. Praxon's total liability for any claim relating to the Services will not exceed the greater of the amount you paid us in the three months before the claim or one hundred U.S. dollars (US$100).
Indemnification
You agree to indemnify and hold Praxon harmless from claims arising out of your data, your use of the Services, or your violation of these Terms, to the extent permitted by law.
Termination
You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms or to protect the Services. On termination, your right to use the Services ends; we'll make your data available for a reasonable period for export where practicable.
Governing law
These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-laws rules. Disputes will be handled in the state or federal courts located in South Carolina, unless a separate written agreement says otherwise.
Changes
We may update these Terms. We'll post the updated version with a new "Last updated" date, and continued use after changes means you accept them.
